Agreement to these terms

These Terms of Use govern your use of leannecoulter.com (the "Site"), operated by LeAnne Coulter ("we," "us").

By using the Site, you agree to these terms. If you do not agree with them, please do not use the Site.

Who we are and what we offer

LeAnne Coulter provides executive coaching to leaders in supply chain, operations, and logistics, working from Philadelphia, Pennsylvania.

Coaching is delivered one to one under a written coaching agreement. Depending on the engagement it may include structured stakeholder interviews and a verbal 360 as part of an assessment phase, a planning phase, and a series of regular sessions. We also speak and publish on leadership topics.

Nothing is sold or ordered through this Site. Engagements begin with a conversation and a written agreement.

No coaching relationship is created here

The Site describes executive coaching services. Reading it, submitting a form, or booking an introductory conversation does not create a coaching relationship.

A coaching relationship begins only when both parties sign a written coaching agreement. That agreement sets out the scope, the schedule, the fee, the confidentiality terms, and what each of us commits to. Until it is signed, nothing here is a commitment by either of us.

Coaching is not therapy, counseling, or medical care

This matters enough to say plainly.

Executive coaching is a professional development relationship focused on leadership, decisions, and how you operate in your role. It is not psychotherapy, counseling, psychiatric or psychological treatment, mental health diagnosis or treatment, medical care, substance abuse treatment, or any other form of healthcare. It is not a substitute for any of those.

We are not a licensed therapist, psychologist, psychiatrist, physician, attorney, or financial adviser, and we do not provide those services. Nothing on this Site or in a coaching engagement should be understood as clinical, medical, legal, financial, investment, tax, or human resources advice.

If you are dealing with something that calls for clinical care, please seek a qualified licensed professional. If you are in crisis, contact emergency services or a crisis line immediately. Where a coaching conversation surfaces something better served by a licensed professional, we will say so and, where we can, help you find the right kind of support.

The content is general information

Articles, resources, frameworks, assessments described on the Site, and other material published here are general commentary on leadership and executive practice. They are not advice about your particular situation, your organization, or your career.

We work to keep the content useful and accurate and we make no warranty that it is complete, accurate, or current.

Results and outcomes

Coaching outcomes depend on you. What you get from an engagement depends on your engagement with the work, your willingness to act on what surfaces, your circumstances, your organization, and factors none of us controls.

Nothing on this Site is a promise, guarantee, or projection of any particular outcome, including any promotion, compensation change, performance rating, business result, or change in how others perceive you. Descriptions of past client experience are illustrative and are not a representation of what you will experience.

Your decisions remain yours

Coaching supports your thinking. You remain responsible for the decisions you make, the actions you take, and their consequences, in your organization and in your career. Nothing on this Site or in a coaching engagement shifts that responsibility to us.

Credentials

Where the Site describes professional training, certification, or credentials, those descriptions are accurate as of the effective date above. Credentials in progress are described as in progress. If a credential status changes, we update the Site.

Confidentiality

Coaching depends on confidentiality, and it is described in detail in our Privacy Policy and governed by your coaching agreement.

Two things belong here. First, please do not send confidential or sensitive information through this Site. The forms and email addresses here are for initial contact. Information submitted before a signed coaching agreement is in place is not covered by the confidentiality terms of that agreement. Second, if you send us an unsolicited idea, suggestion, or proposal, it is not confidential and we may use it without restriction or compensation. Neither of these applies to anything shared inside a signed coaching engagement, which is confidential as set out in that agreement.

Intellectual property

The Site and its contents, including text, frameworks, methodologies, assessment approaches, graphics, images, and downloadable material, are owned by us or our licensors and protected by copyright, trademark, and other laws.

You may read the Site, save or print pages for your own reference, and share links freely. You may not republish or redistribute our content as your own, sell it or include it in a paid product, use it to train or fine tune a machine learning model, systematically copy it by automated means, or use our name or brand in a way suggesting we endorse you.

Reasonable quotation with attribution and a link back is welcome.

Third party organization names appearing on the Site belong to their owners and identify genuine professional history. Their appearance does not imply sponsorship, endorsement, or affiliation.

Acceptable use

You agree not to interfere with or disrupt the Site, attempt unauthorized access, use automated tools to overload or harvest from it, submit false information or impersonate anyone, submit anything unlawful, harassing, defamatory, or malicious, upload malicious code, or use our forms to send unsolicited commercial messages.

We may restrict or block access at our discretion.

Third party links and services

The Site embeds and links to third party services, including our scheduling calendar and our forms. We do not control them and we are not responsible for their content, availability, terms, or privacy practices. Links are not endorsements.

Availability of the Site

We aim to keep the Site available and we do not promise uninterrupted or error free access. We may change, suspend, or discontinue any part of it at any time.

Disclaimer of warranties

The Site and its content are provided on an "as is" and "as available" basis, without warranties of any kind, express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non infringement, and accuracy. We do not warrant that the Site will be uninterrupted, secure, or error free.

Where a jurisdiction does not allow these exclusions, they apply to the fullest extent the law allows.

Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, income, business opportunity, goodwill, or data, arising out of or relating to your use of the Site or your reliance on anything published on it, regardless of the theory of liability.

Our total aggregate liability for all claims relating to the Site will not exceed the greater of one hundred United States dollars or the total amount you paid us, if any, in the twelve months before the claim arose.

Nothing here limits liability that cannot be limited by law, including liability for fraud or willful misconduct.

Liability arising under a signed coaching agreement is governed by that agreement, not by this section.

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and reasonable legal fees arising out of your use of the Site in breach of these terms, your submission of information you had no right to submit, or your unauthorized use of our content.

Governing law and where disputes are resolved

These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws rules.

Any dispute arising out of or relating to these terms or the Site will be brought exclusively in the state or federal courts located in Chester County, Pennsylvania, and you consent to the personal jurisdiction of those courts. Each party bears its own costs and legal fees unless a court orders otherwise.

Any claim relating to the Site must be brought within one year after it arises, or it is permanently barred.

Changes to these terms

We may update these terms. When we do, we will change the effective date at the top, and the updated terms apply from that date forward. Continuing to use the Site after an update means you accept it.

General

Severability. If any provision is unenforceable, the rest remains in effect.

No waiver. Not enforcing a provision does not waive it.

Entire agreement. These terms and our Privacy Policy are the entire agreement between you and us regarding the Site. Where you have signed a coaching agreement, that agreement governs the coaching work, and these terms continue to govern your use of the Site.

Assignment. You may not assign your rights under these terms. We may assign ours in connection with a sale or reorganization of the practice.

Survival. The sections on confidentiality, intellectual property, disclaimer of warranties, limitation of liability, indemnification, and governing law survive any end to your use of the Site.
